These Terms of Service (the “Terms”) govern your access to and use of waterfrontsolutionsmd.com (the “Site”) and any services provided by Davis Contracting, LLC doing business as Waterfront Solutions MD (“we,” “us,” or “our”). By using the Site or engaging us for marine construction services, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing the Site, requesting an estimate, signing a contract, or otherwise engaging our services, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree, please do not use the Site or our services.
You represent that you are at least 18 years of age and have the legal authority to enter into a binding agreement on your own behalf or on behalf of any entity you represent.
2. Services Description
Waterfront Solutions MD provides marine construction services across Maryland and the Chesapeake Bay region, including but not limited to: piers and docks, boat lifts, bulkheads and seawalls, shoreline protection, jetties and groins, and full marine permitting through the Maryland Department of the Environment (MDE), the U.S. Army Corps of Engineers (USACE), and applicable county authorities.
All work is performed under Maryland Marine Contractor License #508 (E), held by Davis Contracting, LLC.
3. Estimates and Quotes
Estimates and quotes provided through the Site, by phone, by email, or in person are non-binding until reduced to a signed written contract. Estimates are based on the information you provide and a site assessment, and may change based on conditions discovered during permitting or construction (e.g., subsurface conditions, regulatory requirements, material price fluctuations).
Estimates are valid for thirty (30) days unless otherwise stated. After expiration, pricing and availability are subject to confirmation.
4. Scope of Work and Change Orders
The scope of work for any project will be set forth in a written contract, including specifications, materials, dimensions, and a timeline. Any changes to the scope — whether requested by you or required by permitting authorities — must be documented in a written change order signed by both parties before the change is performed. Change orders may affect pricing, schedule, and warranty coverage.
5. Payment Terms
Unless otherwise agreed in writing, payment terms are: a deposit at contract signing, progress payments at defined milestones, and final payment upon substantial completion. Specific amounts and schedules will be set forth in your contract.
Past due balances accrue interest at the lower of 1.5% per month or the maximum rate permitted under Maryland law. You agree to reimburse us for reasonable attorneys’ fees and costs of collection on past due balances.
6. Permits and Approvals
We handle permitting in-house, including MDE Tidal Wetlands, USACE Section 10/404, and county Critical Area applications. Permit timelines are controlled by the issuing agencies and typically range from 60 to 120 days. We cannot guarantee permit issuance, timeline, or that an application will not be modified or denied by a regulator.
You are responsible for providing accurate property information (deed, plat, prior approvals, HOA covenants if applicable). Misrepresentations may delay or invalidate permitting and may be grounds for contract termination.
7. Warranties
We warrant that workmanship will conform to industry standards for Chesapeake Bay marine construction for a period of one (1) year from substantial completion, unless a longer period is specified in your contract. Manufacturer warranties on lifts, hardware, and proprietary materials are passed through to you on the manufacturer’s terms.
The workmanship warranty does not cover: damage caused by storm events, vessel impact, ice, marine borers, abnormal use, owner-supplied materials, alterations or repairs performed by others, or normal wear and weathering of pressure-treated and composite materials.
EXCEPT AS EXPRESSLY SET FORTH HEREIN, WE DISCLAIM ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
8. Limitation of Liability
To the maximum extent permitted by Maryland law, our aggregate liability arising out of or relating to any project shall not exceed the total amount you paid us for the work giving rise to the claim. IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including lost use, lost income, loss of vessels, or damage to other property, even if advised of the possibility of such damages.
9. Indemnification
You agree to indemnify, defend, and hold harmless Davis Contracting, LLC, its officers, employees, agents, and subcontractors from and against any claims, damages, and expenses (including reasonable attorneys’ fees) arising out of: (a) your breach of these Terms or your contract; (b) your misrepresentation of property facts or permit history; or (c) the use or operation of any structure after substantial completion.
10. Insurance
We carry general liability insurance, marine general liability, and workers’ compensation insurance as required by Maryland law. Certificates of insurance are available on request prior to commencement of work.
11. Force Majeure
We are not liable for delays or failure to perform caused by events beyond our reasonable control, including but not limited to: severe weather, hurricanes, tropical storms, ice, flooding, regulatory action, supply chain disruption, labor disputes, pandemics, or acts of war or terrorism. Project schedules will be extended day-for-day for such delays.
12. Cancellation and Refunds
You may cancel a signed contract subject to Maryland’s Home Improvement law where applicable, including any statutory right of rescission. After the rescission period, deposits are non-refundable to the extent we have already incurred costs for permits, engineering, materials, mobilization, or labor. We will provide a written accounting of costs incurred upon cancellation.
We reserve the right to terminate a contract for non-payment, material misrepresentation, unsafe site conditions, or interference with our crew. In such case, you remain liable for the value of work completed and materials ordered.
13. Intellectual Property
All content on the Site — including text, photography, logos, designs, drawings, and the “Waterfront Solutions MD” name and marks — is owned by Davis Contracting, LLC or its licensors and is protected by U.S. copyright and trademark law. You may not copy, reproduce, distribute, or create derivative works without our prior written consent.
Project drawings, renderings, and engineered details prepared by us for your project remain our intellectual property; you receive a non-exclusive license to use them for the construction, ownership, and maintenance of the specific project for which they were prepared.
14. Governing Law
These Terms and any contract with us are governed by the laws of the State of Maryland, without regard to its conflict-of-laws principles. Venue for any action arising out of these Terms or a project shall lie exclusively in the state and federal courts located in Anne Arundel County, Maryland.
15. Dispute Resolution
Before commencing any formal action, the parties agree to attempt resolution in good faith through written notice and a 30-day negotiation period. If unresolved, disputes shall be submitted to non-binding mediation in Maryland before any litigation. Nothing in this section prevents either party from seeking injunctive relief to protect property or to enforce a mechanic’s lien.
16. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent revision. Material changes will be posted with reasonable prominence. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
